Originally aired June 24, 2010. An unintended consequence of Section 104(2) (Control of Deposit Account) in Revised Article 9 of the UCC has been widespread misunderstanding and misinformation as to the nature and effect of the security interest that results when a commercial borrower-depositor, its third-party secured lender, and the borrower’s depositary bank enter into a deposit account control agreement. This presentation will identify the many competing interests, laws and regulations that affect commercial depositary banking, cash management products, and a lender’s security interest in a borrower’s deposit accounts. It also will explain what can and cannot be achieved by a secured lender through a deposit account control agreement and why, and will recommend best practices.
